You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

Portfolio Pro is an online educational platform that provides:

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Prohibited Uses: You agree not to:

Payment Terms:

• Subscriptions are billed in advance
• All prices are in USD unless otherwise stated
• Payment is due immediately upon subscription

Refund Policy: Due to the digital nature of our content, we offer limited refunds only for technical issues within 7 days of purchase. See our Refund Policy for details.

Price Changes: We may change subscription prices with 30 days' advance notice to existing subscribers.

Our Content: All course materials, tutorials, projects, and platform content are owned by PortfolioPro LLC and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without permission.

Your Content: You retain ownership of code and projects you create. By using our Service, you grant us a limited license to:

• Store and display your work on the platform
• Provide AI-powered feedback and assistance
• Create anonymized analytics to improve our Service

Open Source: Some projects may use open-source components. You agree to comply with relevant open-source licenses.

Our platform uses AI to provide personalized learning experiences, code review, and recommendations. By using these features:

• You consent to AI analysis of your code and learning patterns
• You understand that AI suggestions are automated and may not always be perfect
• You remain responsible for your final code and project decisions
• We may use anonymized data to improve our AI systems

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Portfolio Pro is provided "AS IS" without warranties of any kind
• We do not guarantee specific learning outcomes or career results
• Our total liability shall not exceed the amount you paid for the Service
• We are not liable for indirect, incidental, or consequential damages

Some jurisdictions do not allow limitation of warranties or liability, so these limitations may not apply to you.

You agree to indemnify and hold harmless PortfolioPro LLC from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

By You: You may cancel your subscription at any time. Access to paid features will continue until the end of your current billing period.

By Us: We may suspend or terminate your account for violation of these Terms, illegal activity, or abuse of the Service. We will provide reasonable notice except in cases of severe violations.

Effect of Termination: Upon termination, your access to the Service will cease, but these Terms will remain in effect for applicable provisions.

These Terms are governed by the laws of the United States and the state where PortfolioPro LLC is incorporated, without regard to conflict of law principles.

Dispute Resolution: We encourage resolving disputes through direct communication. For formal disputes, you agree to binding arbitration rather than court proceedings, except for small claims court matters.

AUTO-RENEWAL NOTICE: Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date.

• Renewal Reminders: We will email you 7 days before your subscription renews
• Pricing Changes: We will notify you at least 30 days before any price increases
• Easy Cancellation: You can cancel anytime in your account settings (no phone call required)
• Effective Date: Cancellations take effect at the end of your current billing period
• No Pro-Rata Refunds: We do not provide refunds for partial months or unused time (see our Refund Policy for exceptions)

Portfolio Pro may contain software and technology subject to export control laws and regulations, including those of the United States (ITAR, EAR).

User Attestations: By using this Service, you represent and warrant that:

• You are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country
• You are not listed on any US government list of prohibited or restricted parties (e.g., Treasury Department's Specially Designated Nationals list)
• You will not use the Service for any purposes prohibited by US export control laws, including development of weapons or military applications
• You will not export, re-export, or transfer the Service or any technology to prohibited countries or parties

We may offer beta, preview, or experimental features ("Beta Features") to users for testing and feedback purposes.

Disclaimer for Beta Features:

• Beta Features are provided "AS IS" without warranties of any kind
• Beta Features may contain bugs, errors, or incomplete functionality
• Beta Features may be modified or discontinued without notice
• Data from Beta Features may be deleted or lost without recovery
• We are not liable for any damages resulting from use of Beta Features

Feedback License: By providing feedback on Beta Features, you grant us a perpetual, royalty-free license to use, modify, and incorporate your feedback without compensation or attribution.

IMPORTANT: Portfolio Pro is an educational platform designed to teach coding skills. Please understand:

• No Accreditation: Portfolio Pro is not an accredited educational institution. Our courses do not grant academic degrees or professional certifications recognized by accrediting bodies.
• No Job Guarantees: We do not guarantee employment, job placement, salary increases, or specific career outcomes. Employment depends on many factors beyond our control.
• Skill Development: While we strive to provide industry-relevant training, employers may require additional qualifications, experience, or certifications.
• AI Limitations: Our AI code review and assistance features are educational tools, not professional code auditing services. Always follow industry best practices and conduct proper testing.
• Self-Paced Learning: Completion time and outcomes vary based on individual effort, prior experience, and learning pace.

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to:

• Natural disasters (earthquakes, floods, fires)
• Pandemics or public health emergencies
• War, terrorism, civil unrest, or government actions
• Strikes or labor disputes (not involving our employees)
• Internet outages, cyberattacks, or third-party service failures (e.g., AWS, Supabase, OpenAI)
• Power failures or telecommunications disruptions

During a force majeure event, we will make reasonable efforts to resume normal operations. If the event persists for more than 30 days, either party may terminate the agreement with pro-rata refund where applicable.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and DMCA Policy, constitute the entire agreement between you and Portfolio Pro regarding use of the Service. These Terms supersede any prior or contemporaneous agreements, communications, or understandings (whether written or oral).

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

By You: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.

By Us: We may assign these Terms, in whole or in part, to any entity in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. We will notify you of any such assignment that materially affects your rights.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PORTFOLIO PRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and Portfolio Pro agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of representative or class proceeding.

We may update these Terms from time to time. Significant changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service constitutes acceptance of updated Terms.
